Terms and Conditions of Service

PRE-LAUNCH STATUS: These terms are for informational purposes and will fully apply once TechNisha LTD officially launches its services and a formal agreement is executed.

Effective Date: 28th November 2025

1. Acceptance of Terms

By accessing and using this website, you accept and agree to be bound by the terms and provisions of this agreement. These terms govern all contracts for the supply of services by TechNisha LTD to any client.

2. Definitions

  • "The Company": TechNisha LTD (Company No. 16839549), registered in England and Wales.
  • "Client": Any individual or business entity purchasing services from the Company.
  • "DGS": Digital Growth System, a subscription package including website, content, and SEO maintenance.
  • "Content Sprint": A one-off service for the supply of long-form, written content.
  • "Agreement": The formal written proposal, these Terms and Conditions, and any subsequent service contract.

3. Digital Growth System (DGS) Service Terms

3.1. DGS Setup Fee (£199)

A non-refundable one-time setup fee of £199 is required to initiate the DGS service. This fee covers the initial website build, domain registration, email setup, and baseline SEO optimisation as detailed on the Company’s brochure page.

3.2. Subscription and Payment

  1. DGS services are provided on a pre-paid subscription basis (3, 6, or 12 months).
  2. Subscription fees must be paid in full at the start of the agreed period.
  3. Payment is required within 7 days of invoice issuance. Late payment may result in service interruption.

3.3. Cancellation and Refunds (DGS)

The initial £199 setup fee is non-refundable once work has commenced (typically within 48 hours of payment).

Subscription refunds are calculated as follows:

  • If the Client cancels within the first 30 days of any paid cycle, the Company reserves the right to retain 50% of the subscription fee to cover initial content and maintenance costs.
  • After 30 days, no refunds will be provided for the current paid subscription cycle.
  • For 6-month or 12-month pre-paid plans, remaining unused full months may be refunded at the standard monthly rate, less any initial plan discount applied.

3.4. Website Ownership and Hosting

The Company provides website hosting for the duration of the paid DGS subscription.

  • Upon termination of the DGS subscription, the Client may choose to transfer the website and domain to a different hosting provider.
  • The Company will provide a copy of the website files and database to the Client, subject to all outstanding fees being settled.
  • If the Client opts to keep the website on the Company's hosting, a separate monthly hosting/maintenance fee will apply, to be agreed upon in writing.

4. High-Impact Content Sprint Terms

4.1. Payment and Delivery

The Content Sprint is a flat-fee service (£100) and must be paid in advance before any work begins.

The Company commits to delivering the content (approx. 2500 words) within 72 hours from the point the payment is confirmed and the Client has provided all necessary brief details.

4.2. Revisions and Acceptance

One (1) round of minor revisions is included within the Content Sprint price. Major revisions requiring significant new research or a complete change in scope will incur an additional fee, to be quoted separately.

Once the final revised content is delivered, acceptance is deemed to have occurred, and no further refunds or revisions are provided under the original sprint fee.

5. Client Responsibilities

The Client agrees to:

  • Provide all necessary access (e.g., to Google Business Profile, existing social media accounts) promptly to facilitate the DGS setup and content posting.
  • Ensure all information provided to the Company for content generation or website use is accurate, legal, and does not infringe on third-party rights.
  • Promptly review and approve any content or website drafts provided by the Company.

6. Limitation of Liability

TechNisha LTD shall not be liable for any indirect, special, incidental, punitive, or consequential damages (including loss of profits or data) arising out of or in connection with the services provided, even if the Company has been advised of the possibility of such damages. The Company’s total liability for any claim shall not exceed the total fees paid by the Client to the Company for the service giving rise to the claim during the preceding six (6) months.

The Company provides no guarantee regarding specific search engine rankings or business results, as these factors are outside the Company's control.

7. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.

The parties agree that the courts of London, England shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions or their subject matter or formation (including non-contractual disputes or claims).

9. Changes to Terms

TechNisha LTD reserves the right to modify these Terms and Conditions at any time. The most current version will be posted on the website. Continued use of the services after any such changes shall constitute your consent to such changes.
